Frequently Asked Questions

Strategic Contributors & Functional Partners

What is WAD Capital?

WAD Capital is a Brussels-based private equity platform focused on SME succession within a ~300km radius of Brussels. We acquire healthy, founder-led businesses and partner with exceptional professionals to support their transformation and growth—before, during, and after acquisition.

What kinds of roles does WAD Capital recruit?

We engage professionals for high-impact roles at the SPV or platform level, including:

  • CFOs / Finance Leads – overseeing deal structuring, reporting, cash flow, and governance

  • Legal & Transaction Advisors – supporting due diligence, contracts, and compliance

  • HR / People & Culture Specialists – guiding post-acquisition integration and team transitions

  • Commercial or Strategic Advisors – contributing to pricing, growth strategy, or operational change

How is compensation structured?

Compensation varies by role and scope. Typical structures include:

  • Fixed project fees

  • Success-based bonuses (e.g. post-close or performance triggers)

  • Retainers for ongoing involvement

  • In select cases, carried interest or equity participation

We align incentives based on contribution, seniority, and engagement duration.

Do I need to be based in Belgium?

No, but you must be able to operate within ~300km of Brussels. In-person presence may be required for due diligence, onboarding, or integration efforts.

How are assignments staffed?

Staffing depends on the stage of the deal and operator needs. Some professionals are engaged pre-acquisition (e.g. for structuring or diligence), while others join post-acquisition to help scale the business or professionalize core functions.

Which sectors does WAD Capital focus on?

We invest in:

  1. Healthcare & Related Services (including distribution, specialised providers, etc.),

  2. Energy Transition & Circularity (green economy, recycling, mobility, etc.),

  3. Business Services (fragmented services with healthy margins).

We avoid startups, distressed assets, or purely real estate deals.

Where are these companies located?

Currently, we focus on SMEs located within ~300 km of Brussels, covering Benelux and nearby regions. We require regular in-person collaboration, so you should be willing to operate within that geography.

How does the application process work?

  1. Online Application: Submit basic info and a CV

  2. Screening Call: Discuss fit and scope

  3. Alignment Meeting: Define role type, availability, and expectations

  4. Engagement Offer: We propose a structure that matches your profile and our pipeline

Does the screening process differ based on the role?

Yes. While all applicants begin with an online application and initial screening, the next steps vary based on the nature of the role:

  • CFOs and Finance Roles: May involve a technical discussion with our investment team and a case or prior deal walkthrough.

  • Legal, HR, and Strategic Advisors: Typically have a scope alignment call followed by a mandate-specific onboarding.

  • Full-time or Post-Acquisition Roles: May include interviews with the operator/CEO and site visits to prospective portfolio companies.

Our goal is to tailor the process to the seniority, structure, and urgency of each engagement.

Are there any specific language or work permit requirements?

You should be able to operate in English at a high level. If you focus on local deals, we believe local language skills are beneficial. Non-EU candidates must ensure they have the right to work in the region.
